| 1. | 釋 議 |
| 1.1 | 在 本 條 款 中 ， 除 非 另 有 特 別 規 定 ， 否 則 下 述 之 文 字 及 詞 語 將 具 下 列 所 述 之 含 意 ： |
| 「 本 條 款 」 指 下 列 條 款 及 細 則 ； 「 內 容 」 包 括 但 不 限 於 任 何 內 容 、 軟 件 、 數 據 、 資 料 、 訊 息 及 所 有 文 字 、 聲 音 、 影 像 、 靜 態 圖 像 、 圖 表 及 其 他 可 透 過 我 們 服 務 取 覽 的 內 容 及 材 料 ﹔ 「 費 用 」 指 會 員 使 用 及 / 或 取 用 服 務 而 需 繳 付 或 已 繳 付 的 服 務 費 用 ， 包 括 其 它 第 三 者 徵 收 的 費 用 、 使 用 費 及 5x Channel( 不 論 是 否 作 為 代 理 人 ) 不 時 徵 收 的 費 用 ， 以 便 會 員 使 用 及 / 或 取 用 服 務 ( 及 任 何 可 憑 藉 輸 入 帳 號 及 密 碼 而 可 取 用 服 務 的 任 何 人 仕 就 該 服 務 的 使 用 及 / 或 取 用 ) ， 及 / 或 有 關 內 容 的 線 上 傳 送 而 徵 收 的 費 用 。 「服 務 」 指 會 員 透 過 互 聯 網 及 / 或 萬 維 網 而 使 用 由 5x Channel 在 網 站 所 不 時 提 供 的 視 像 自 選 服 務 ﹔ 「 5X Channel」 指 5X Channel Co. Ltd., 其 繼 承 者 及 受 讓 人 ； 「 帳 號 及 密 碼 」 指 任 何 由 5X Channel 向 會 員 發 出 以 便 使 用 服 務 的 個 人 獨 有 的 身 份 記 認 ﹔ 「 私 隱 條 例 」 指 個 人 資 料 私 隱 條 例 ， 香 港 法 例 「 會 員 」 或 「 閣 下 」 指 在 申 請 表 上 所 列 載 的 客 戶 ﹔ 「 訂 購 協 議 」 指 申 請 表 及 本 條 款 構 成 有 關 會 員 及 5x Channel 就 訂 購 服 務 而 達 成 的 協 議 ； 「 申 請 表 」 指 會 員 向 5x Channel 申 請 訂 購 服 務 所 遞 交 的 申 請 表 格 ； 「 資 料 來 源 」 指 所 有 內 容 提 供 者 ， 而 其 所 提 供 的 內 容 載 於 服 務 之 內 。 「 網 站 」 指 所 有 5x Channel 指 定 以 提 供 的 服 務 的 網 站 ， 包 括 但 不 限 於 網 址 位 於 www.5xchannel.com 的 網 站 。 |

| 1.3 | 條 款 標 題 只 為 方 便 閱 讀 而 加 入 ， 解 釋 本 條 款 時 應 不 予 理 會 。 |
| 2. | 訂 購 服 務 |
| 2.1 | 基 於 會 員 同 意 受 本 條 款 及 申 請 表 所 列 細 則 所 規 範 ， 5x Channel 同 意 向 會 員 授 予 非 獨 有 不 可 轉 讓 的 有 限 度 許 可 ， 以 依 照 本 條 款 取 用 服 務 及 其 內 容 ， 並 且 受 到 所 有 適 用 於 服 務 及 其 內 容 的 版 權 通 知 或 限 制 所 規 限 ， 此 許 可 不 容 許 以 本 地 或 廣 闊 地 區 網 絡 形 式 發 放 服 務 的 內 容 及服 務 只 可 作 個 人 使 用 。 |
| 2.2 | 訂 購 服 務 受 申 請 表 及 本 條 款 所 規 範 。 5x Channel 不 受 其 他 條 文 所 約 束 。 |
| 2.3 | 5x Channel 將 會 向 每 個 會 員 授 予 一 個 帳 號 及 密 碼 ， 以 供 會 員 取 用 我 們 服 務 。 |
| 2.4 | 會 員 向 5x Channel 聲 明 及 保 証 如 下 ： |
| 2.4.1 | 會 員 年 滿 18 歲 或 以 上 ； |
| 2.4.2 | 所 有 依 申 請 表 上 所 提 供 的 會 員 資 料 ， 均 為 真 實 、 正 確 、 最 新 及 完 整 的 ； |
| 2.4.3 | 會 員 會 維 持 並 立 即 更 新 所 有 資 料 ， 確 保 其 在 所 有 時 間 皆 為 正 確 、 精 確 、 最 新 及 完 整 ； 及 |
| 2.5 | 5x Channel 在 所 有 時 間 均 保 留 以 下 權 利 : |
| 2.5.1 | 如 果 5x Channel 認 為 會 員 已 違 反 本 條 款 的 任 何 條 文 ， 或 合 理 地 認 為 該 項 行 動 是 適 合 、 可 取 及 有 其 需 要 的 ， 可 在 無 須 給 予 通 知 而 即 時 終 止 會 員 取 用 服 務 的 權 利 ﹔ 及 |
| 2.5.2 | 會 員 有 責 任 定 期 登 入 我 們 網 站 ， 以 瀏 覽 最 新 的 訂 購 條 款 。 會 員 繼 續 使 用 服 務 ， 即 構 成 及 表 示 其 接 納 此 等 更 新 條 款 的 約 束。 |
| 2.6 | 5x Channel 擁 有 絕 對 權 利 及 可 於 任 何 時 間 在 毋 須 向 會 員 事 先 給 予 通 知 的 情 況 下 加 入 、 修 訂 或 刪 除 任 何 內 容 及 / 或 服 務 的 陳 述 方 式 、 實 質 內 容 或 功 能 。 |
| 3 | 使 用 服 務 |
| 3.1 | 支 付 費 用 會 員 同 意 依 照 訂 購 協 議 的 規 定 向 5x Channel 支 付 一 切 其 到 期 須 繳 付 的 費 用 ， 而 就 過 期 繳 費 而 言 ， 會 員 授 權 5x Channel 從 其 信 用 卡 或 支 帳 卡 扣 取 其 不 時 到 期 須 繳 付 的 費 用 。 會 員 同 意 ， 除 非 出 現 重 大 錯 誤 ， 否 則 5x Channel 所 出 具 的 發 票 具 最 終 效 力 並 約 束 雙 方 。 |
| 3.2 | 內 容 性 質 會 員 清 楚 知 悉 和 明 白 服 務 及 內 容 的 性 質 可 能 令 人 反 感 。 會 員 完 全 明 白 內 容 並 不 適 合 小 孩 及 未 滿 18 歲 的 人 士 觀 看 。 會 員 不 可 令 致 、 同 意 或 容 許 將 內 容 或 其 部 份 派 發 、 傳 閱 、 出 售 、 出 租 、 交 給 、 借 給 、 傳 送 、 分 發 予 未 滿 18 歲 的 人 士 或 將 內 容 向 該 人 士 出 示 、 播 放 或 放 映 。 在 無 損 本 條 款 第 3.4 條 的 情 況 下 ， 會 員 必 須 將 帳 號 及 密 碼 保 密 及 不 可 將 之 洩 露 予 或 同 意 或 容 許 其 帳 號 及 密 碼 洩 露 予 任 何 未 滿 18 歲 的 人 士 或 同 意 或 容 許 任 何 未 滿 18 歲 的 人 士 經 使 用 其 帳 號 及 密 碼 使 用 或 取 得 服 務 及 / 或 其 內 容 的 全 部 或 部 份 。 |
| 3.3 | 內 容 的 知 識 產 權 會 員 確 認 服 務 ， 其 內 容 ， 網 站 的 整 體 外 觀 及 感 覺 及 所 載 的 所 有 材 料 為 5x Channel 及 / 或 5x Channel 的 控 股 公 司 、 附 屬 公 司 或 聯 屬 公 司 及 / 或 資 料 來 源 的 專 有 資 料 及 / 或 有 關 版 權 為 彼 等 所 有 ， 除 非 本 條 款 另 有 訂 明 ， 我 們 服 務 所 提 供 的 內 容 不 可 複 印 、 捏 改 、 重 新 發 布 、 或 以 任 何 方 式 或 以 任 何 途 徑 向 第 三 者 再 次 發 放 ， 除 非 會 員 本 身 擁 有 或 控 制 有 關 的 版 權 ， 或 已 取 得 所 需 的 授 權 或 批 准 。 如 有 濫 用 或 侵 害 內 容 的 知 識 產 權 的 行 為 ， 會 員 必 須 即 時 以 書 面 通 知 5x Channel 。 |
| 3.4 | 帳 號 及 密 碼 會 員 對 維 持 帳 號 及 密 碼 的 機 密 安 全 ， 負 有 全 部 責 任 ， 並 對 所 有 利 用 其 帳 號 及 密 碼 進 行 的 活 動 負 責 。 會 員 同 意 ， 當 其 帳 號 及 密 碼 被 第 三 者 未 獲 授 權 使 用 ， 或 有 其 他 安 全 問 題 出 現 ， 將 立 即 通 知 5x Channel 。 對 任 何 使 用 帳 號 及 密 碼 而 引 致 的 損 失 ( 無 論 會 員 對 有 關 的 使 用 是 否 知 情 ) ， 5x Channel 不 予 負 責 。 |
| 3.5 | 合 法 用 途 作 為 會 員 使 用 及 登 入 服 務 的 重 要 條 件 ， 會 員 不 可 利 用 服 務 作 任 何 非 法 或 本 條 款 禁 止 的 用 途 。 會 員 於 使 用 服 務 時 ， 不 可 破 壞 或 干 擾 服 務 或 內 容 ( 或 與 我 們 服 務 連 接 的 伺 服 器 和 網 絡 ) 或 干 擾 其 他 會 員 享 用 服 務 。 會 員 不 可 企 圖 以 未 經 授 權 的 身 分 使 用 服 務 、 他 人 戶 口 ， 聯 繫 至 伺 服 器 的 電 腦 或 網 絡 。 會 員 不 可 以 未 經 授 權 的 途 徑 從 服 務 獲 得 或 企 圖 獲 得 任 何 資 料 。 |
| 3.6 | 個 人 及 非 商 業 用 途 的 限 制 除 非 另 有 訂 明 ， 服 務 只 可 作 為 會 員 的 個 人 及 非 商 業 用 途 。 會 員 不 可 修 改 、 抄 襲 、 分 發 、 傳 送 、 展 示 、 複 製 、 公 開 演 出 、 出 版 、 授 權 、 轉 讓 或 出 售 內 容 的 全 部 或 部 份 及 / 或 任 何 從 服 務 獲 得 的 資 料 、 軟 件 、 材 料 或 服 務 ， 或 據 以 製 作 衍 生 產 品 。 |
| 3.7 | 禁 止 轉 讓 會 員 不 得 出 讓 、 轉 讓 或 分 許 其 在 本 條 款 內 的 全 部 或 部 份 權 利 或 責 任 |
| 3.8 | 彌 償 因 下 列 事 項 而 衍 生 或 導 致 任 何 第 三 者 向 5x Channel 提 出 索 賠 或 請 求 ( 包 括 訴 訟 費 ) 而 引 致 5x Channel 有 任 何 直 接 或 間 接 的 損 失 ， 訂 購 同 意 予 以 彌 償 。 |
| 3.8.1 | 因 會 員 使 用 或 第 三 者 經 會 員 帳 號 及 密 碼 使 用 服 務 及 / 或 其 內 容 ﹔ 及 |
| 3.8.2 | 因 會 員 或 第 三 者 經 會 員 帳 號 及 密 碼 使 用 服 務 ， 違 反 訂 購 協 議 內 容 。 |
| 4 | 免 責 聲 明 及 責 任 限 制 |
| 會 員 明 確 了 解 並 同 意 如 下 :- | |
| 4.1 | 會 員 使 用 服 務 的 風 險 由 其 個 人 承 擔 。 5x Channel 依 「 現 況 」 及 「 現 有 」 基 礎 提 供 服 務 及 內 容 。 |
| 4.2 | 在 法 例 容 許 的 情 況 下 ， 5x Channel 對 服 務 及 內 容 ， 不 提 供 任 何 明 示 或 默 示 的 擔 保 ， 句 括 但 不 限 於 商 業 適 售 性 、 特 定 目 的 的 適 用 性 及 保 障 不 侵 害 他 人 權 利 。 |
| 4.3 | 除 非 本 條 款 訂 明 ， 否 則 會 員 從 服 務 或 內 容 取 得 的 建 議 和 資 訊 ， 無 論 其 為 書 面 或 口 頭 ， 絕 不 構 成 服 務 的 任 何 保 證 。 |
| 4.4 | 5x Channel 對 在 香 港 特 別 行 政 區 以 外 地 區 使 用 或 觀 看 內 容 是 否 合 法 或 適 當 或 內 容 是 否 獲 許 輸 出 香 港 特 別 行 政 區 並 輸 入 其 它 地 區 ， 不 作 任 何 聲 明 或 保 証 。 會 員 如 在 香 港 特 別 行 政 區 以 外 地 區 使 用 觀 看 或 取 得 服 務 及 / 或 內 容 ， 必 須 遵 守 所 有 出 入 口 法 規 及 適 用 法 例 ， 並 承 擔 所 有 責 任 。 |
| 4.5 | 除 非 5x Channel 經 己 同 意 ， 否 則 5x Channel 對 內 容 的 時 間 性 、 準 確 性 、 完 整 性 、 可 信 性 及 實 用 性 不 作 任 何 保 證 。 |
| 4.6 | 5x Channel 對 服 務 內 容 不 受 干 擾 ， 及 時 提 供 ， 安 全 可 靠 或 免 於 出 錯 ， 或 任 何 錯 誤 會 得 到 更 正 不 作 任 何 保 證 。 5x Channel 及 資 料 來 源 致 力 確 保 其 所 提 供 的 資 料 的 準 確 性 ， 但 卻 不 會 對 此 作 出 任 何 擔 保 及 不 會 就 任 何 不 準 確 或 遺 漏 而 造 成 的 損 失 或 損 害 承 擔 任 何 責 任 ， 不 論 民 事 過 失 或 合 約 上 其 他 上 的 責 任 。 5x Channel 亦 不 會 對 使 用 服 務 或 內 容 而 取 得 的 結 果 作 出 保 證 。 |
| 4.7 | 5x Channel 或 資 料 來 源 不 會 對 任 何 因 5x Channel 、 其 附 屬 機 構 、 資 料 來 源 的 疏 忽 或 因 會 員 的 錯 誤 或 遺 漏 而 引 致 內 容 延 誤 、 不 正 確 或 錯 誤 傳 送 或 電 腦 系 統 或 網 絡 出 錯 或 停 頓 、 資 料 變 造 、 服 務 干 擾 而 造 成 的 損 失 負 責 。 |
| 4.8 | 在 法 例 容 許 的 情 況 下 ， 5x Channel 、 其 控 股 公 司 、 子 公 司 、 附 屬 公 司 、 董 事 、 員 工 、 代 理 、 資 料 來 源 或 其 他 參 與 製 作 、 生 產 、 傳 送 分 散 服 務 或 內 容 的 人 士 ， 不 會 對 任 何 在 取 得 編 制 、 詮 釋 、 編 輯 、 報 告 或 發 放 內 容 方 面 的 全 部 或 部 分 疏 忽 或 因 登 入 或 使 用 或 無 法 登 入 或 使 用 服 務 或 因 服 務 或 內 容 受 干 擾 或 暫 停 ， 或 任 何 未 經 授 權 經 會 員 帳 諕 及 密 碼 使 用 服 務 或 內 容 而 所 引 致 的 任 何 直 接 、 間 接 、 特 別 、 衍 生 性 或 懲 罰 性 的 損 失 、 費 用 或 損 害 或 傷 害 承 擔 任 何 責 任 ， 包 括 但 不 限 於 利 潤 、 商 譽 、 使 用 、 資 料 損 失 或 其 他 無 形 損 失 ( 即 5x Channel 已 被 告 知 前 開 賠 償 的 可 能 性 亦 然 ) 。 |
| 4.9 | 儘 管 有 以 上 的 規 定 ， 5x Channel 就 損 失 、 損 害 及 訴 訟 原 因 的 總 責 任 ， 在 任 何 情 況 之 下 將 以 會 員 根 據 訂 購 協 議 所 支 付 的 6 個 月 費 用 為 限 。 |
| 5 | 終 止 |
| 5.1 | 任 何 一 方 可 隨 時 在 給 予 對 方 不 少 於 三 十 天 的 預 先 通 知 後 終 止 訂 購 協 議 ， 所 有 終 止 協 議 通 知 將 於 三 十 天 通 知 期 屆 滿 後 的 第 一 個 付 款 日 生 效 。 |
| 5.2 | 如 會 員 違 反 訂 購 協 議 的 任 何 條 款 ， 或 5x Channel 合 理 地 認 為 會 員 就 有 關 服 務 的 使 用 或 行 動 是 並 不 合 適 的 話 ， 5x Channel 可 即 時 終 止 本 訂 購 協 議 而 毋 須 向 會 員 給 予 任 何 事 先 的 聲 明 。 |
| 5.3 | 所 有 據 此 條 款 而 給 予 的 終 止 協 議 通 知 必 須 以 電 子 郵 件 發 出 。 |
| 5.4 | 在 終 止 訂 購 協 議 生 效 日 期 ﹔ |
| 5.4.1 | 根 據 訂 購 協 議 而 向 會 員 授 予 的 許 可 、 權 利 或 特 權 將 會 即 時 無 效 ﹔ |
| 5.4.2 | 會 員 將 不 可 取 回 在 終 止 訂 購 協 議 之 前 所 支 付 的 費 用 ， 亦 不 可 將 之 轉 至 第 三 者 名 下 ﹔ 及 |
| 5.4.3 | 本 條 款 第 1 ， 3.8 ， 4 及 6.4 條 將 繼 續 有 效 。 |
| 6 | 一 般 條 款 |
| 6.1 | 權 利 放 棄 合 約 任 何 一 方 不 行 使 或 延 遲 行 使 其 訂 購 協 議 下 之 權 利 和 權 力 ， 不 會 淢 少 影 響 或 取 消 該 等 權 利 和 權 力 。 本 合 約 賦 予 合 約 雙 方 權 利 和 權 力 是 附 加 的 ， 將 不 影 響 或 取 代 法 律 所 賦 之 權 利 權 力 或 補 償 。 |
| 6.2 | 無 效 如 根 據 任 何 法 規 或 法 律 原 則 ， 本 條 款 或 訂 購 協 議 下 的 任 何 條 款 或 條 文 被 判 定 為 全 部 或 部 分 屬 非 法 或 無 法 執 行 ， 則 在 該 等 判 定 的 範 圍 內 ， 該 條 款 或 條 文 將 不 會 成 為 本 條 款 的 其 中 一 部 份 ， 但 本 條 款 餘 下 部 份 的 可 執 行 性 並 不 會 因 此 而 有 所 影 響 。 |
| 6.3 | 私 隱 政 策 根 據 5x Channel 不 時 制 訂 並 在 我 們 網 站 展 示 的 私 隱 政 策 及 私 隱 條 例 規 定 ， 除 非 會 員 要 求 其 個 人 資 料 不 用 作 直 銷 推 廣 之 用 ， 會 員 同 意 5x Channel 可 將 其 提 供 的 個 人 資 料 作 內 部 及 直 銷 推 廣 之 用 ， 或 在 我 們 服 務 需 要 的 情 況 下 將 之 提 供 予 集 團 成 員 或 其 他 第 三 者 作 同 類 用 途 。 會 員 並 同 意 5x Channel 可 將 其 個 人 資 料 轉 移 至 香 港 以 外 的 地 方 ， 即 使 該 地 方 並 無 與 私 隱 條 例 相 類 似 的 立 法 保 障 。 |
| 6.4 | 適 用 法 律 訂 購 協 議 將 被 視 為 於 香 港 特 別 行 政 區 訂 定 ， 並 按 香 港 特 別 行 政 區 法 律 解 釋 及 執 行 。 雙 方 同 意 接 受 香 港 特 別 行 政 區 法 律 的 專 屬 管 轄 權 。 本 條 款 以 中 英 文 制 成 ， 但 以 英 文 文 本 為 準 及 依 歸 。 |
| Terms and Condition Thank you for your interest in 5X Channel website. This is the standard Terms and Conditions for using our service which may be updated and revised by 5X Channel from time to time without notice to the subscribers / the person/ partnership/ corporations whose name and address are set out in the Application Form. Before accepting the registration by clicking the "Agree and accept" button, the subscriber is required to read it carefully and has agreed to be bound by this Terms and Conditions. |
| 1. | INTERPRETATION |
| 1.1 | In this Agreement, unless the context otherwise requires, the following terms shall have the following meanings: |
| "Agreement" means the Terms and Conditions as mentioned herein "Our Services" - means video-on-demand service provided by 5X Channel from time to time at the website to which Subscriber may have access through the Internet and/or the World Wide Web "Content" includes without limitation any content, software, data, information, messages and all textual, audio, video, still, moving or animated images, graphical, musical, electronic mails and other content or material, goods or services that is accessible by or through the internet "5X Channel" means 5X Channel Company Limited, its successors and assigns "Application Form" means the online application form completed by the Subscriber for the subscription of Our Services "Fees" means any applicable fees and charges including, without limitation, the monthly subscription fee, connect time charges, storage charges, access fees, installation fee, license fee, handling charges, disconnection/cancellation charges, access kit charges, and other fees and charges as may be charged by 5X Channel from time to time for the Subscriber's use and any other person's use of the Our Services by using the Subscriber's Login ID and/or Password); "Login ID and Password" means a unique personal identifiers and it's corresponding password issued by 5X Channel to the Subscriber or its designated user for gaining access to Our Services; "Ordinance" means Personal Data (Privacy) Ordinance, Cap. 486 of the laws of Hong Kong "Service" means the Our Services and any other services provided by the Website "Subscriber" or "you" means the person whose particulars are set forth on the Application Form "Sources" means all Content suppliers whose Content is contained within Our Services "Website" means 5X Channel 's Web Site designated for providing Our Services including but without limitation the Web Site at www.5xchannel.com |

| 1.2 | In these Conditions, references to the singular shall, where the context so permits or requires, be deemed to include references to the plural and vice-versa. References to the masculine gender shall, where the context so permits or requires, be deemed to include references to the feminine gender and the neuter gender. |
| 1.3 | The paragraph headings contained herein are for the convenience of the parties only, and shall not for any purpose whatsoever be deemed a part of these Conditions. |
| 2. | SUBSCRIPTION OF SERVICE |
| 2.1 | In consideration of Subscriber agreeing to be bound by these Conditions and the terms of the Subscription Form, 5x Channel shall grant to Subscriber a non-exclusive non-transferable limited licence to access and use Our Service in accordance with these Conditions and subject to any and all copyright notices or restrictions applicable to Our Service and the Content and such licence shall not permit local area network or wide area network distribution of the Content and is for individual use only. |
| 2.2 | Subscription to Our Service is governed by the terms of the Subscription Form and these Conditions. No other conditions, provisions, or terms of any sort appearing in any writings or other communications made in connection with the Subscription Form, shall be binding on 5x Channel, whether in conflict with or in addition to these Conditions. |
| 2.3 | 5x Channel will provide Subscriber one Login ID and Password for access by Subscriber to Our Service. |
| 2.4 | Subscriber represents and warrants to 5x Channel that |
| 2.4.1 | Subscriber is 18 years of age or above; |
| 2.4.2 | all the information as provided by Subscriber in the Subscription Form is true, accurate, current and complete information about Subscriber; and |
| 2.4.3 | Subscriber will maintain and promptly update the information as provided in the Subscription Form to keep it true, accurate, current and complete. |
| 2.5 | 5x Channel reserves the right at any time to |
| 2.5.1 | immediately suspend Subscriber's access to Our Service without notice, where 5X Channel is of the opinion that Subscriber has breached any of the terms of the Subscription Agreement or that such action is appropriate, desirable or necessary in the reasonable opinion of 5x Channel; and |
| 2.5.2 | Subscriber is responsible for regularly reviewing these terms and conditions and additional terms posted on the Website. Subscriber's continued use of Our Service constitutes its agreement to all such amended terms and conditions. |
| 2.6 | 5X Channel at its absolute discretion and at any time, add, amend, remove or discontinue, temporarily or permanently, without prior notice to Subscriber, the presentation, substance or functionality of Our Service and/or the Content or any part thereof. |
| 3 | USE OF OUR SERVICE |
| 3.1 | Payment of Fees Subscriber shall pay all Fees due to 5X Channel in accordance with the terms of the Subscription Agreement and in the case of overdue payment, Subscriber hereby authorises 5x Channel to debit its credit or charge card with the amount of any Fees which are due from time to time. Subscriber agrees that in the absence of manifest error, the details and amount of Fees contained in invoice issued by 5X Channel shall be final and conclusive. |
| 3.2 | Content Nature Subscriber is fully aware of and acknowledges the nature of the Content and Our Service and that the Content may contain materials which may offend. Subscriber fully understands that the Content may not be suitable for exhibition to children and young persons who are under the age of 18 years. Subscriber shall not cause, allow or permit the Content or any part thereof to be distributed, circulated, sold, hired, given, lent, showed, played, projected, displayed, exhibited, transmitted, distributed, published, performed or copied to any person under the age of 18 years. Without prejudice to Clause 3.4, Subscriber shall maintain the confidentiality of its Login ID and Password and shall not disclose or allow or suffer the disclosure of it to any person under the age of 18 years or allow or suffer any person under the age of 18 years to use and/or have access to Our Service and/or the Content or any part thereof through the use of its Login ID and Password. |
| 3.3 | Intellectual property rights of Content Subscriber acknowledges that Our Service and the Content are proprietary to and/or the copyright of 5x Channel and/or any of its holding company, subsidiaries or associated companies and/or the Sources. Unless otherwise provided hereunder, Subscriber will not sell, modify, exhibit, display, license, sub-license, reproduce, distribute, publish, copy, download, transmit, manipulate or otherwise exploit any Content which is protected by copyright or other intellectual property or similar rights unless Subscriber owns or controls the relevant rights thereto or has obtained all the requisite licences and approvals therefore. Subscriber shall forthwith notify 5x Channel in writing of any misuse of, or infringement of, the intellectual property rights of any Content. |
| 3.4 | Login ID and Password, and Security Subscriber is entirely responsible for maintaining the confidentiality of the Login ID and Password. Further, Subscriber is entirely responsible for any and all activities that occur under its account. Subscriber agrees to notify 5x Channel immediately of any unauthorized use of its account or any other breach of security. 5x Channel will not be liable for any loss that Subscriber may incur as a result of any use of Subscriber's Login ID and Password or account, whether known or unknown to Subscriber. |
| 3.5 | No unlawful or prohibited use As a condition of Subscriber's use of and/or access to Our Service, Subscriber shall not use Our Service for any purpose that is unlawful or prohibited by these Conditions. Subscriber may not use Our Service in any manner that could damage, disable, overburden, or impair Our Service or any Content (or the network(s) connected to Our Service) or interfere with any other party's use and enjoyment of Our Service. Subscriber may not attempt to gain unauthorized access to Our Service, other accounts, computer systems or networks connected to Our Service, through hacking, password mining or any other means. Subscriber may not obtain or attempt to obtain any materials or information through any means not intentionally made available through Our Service. |
| 3.6 | Personal and non-commercial use limitation Unless otherwise specified, Our Service is for Subscriber's personal and non-commercial use. Subscriber may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from Our Service and/or the Content. |
| 3.7 | Prohibition against assignment Subscriber shall not assign, transfer or sub-license all or any part of it's rights or obligations under the Subscription Agreement. |
| 3.8 | Indemnification Subscriber hereby agrees to indemnify and to keep 5x Channel fully and effectively indemnified against any action, liability, cost, claim, loss, damage, proceeding, expense (including legal costs on indemnity basis) suffered or incurred by 5x Channel arising from or which is directly or indirectly related to |
| 3.8.1 | Subscriber's use of Our Services and any other person's use of Our Service where such person was able to access Our Service by using the Login ID and Password; or |
| 3.8.2 | any breach or non-observance of any term of the Subscription Agreement by Subscriber or any other person where such person was able to access Our Service by using the Login ID and Password. |
| 3.9 | Third Party Links The inclusion of any hyperlinks in the Website does not imply affiliation, endorsement or adoption by 5x Channel of the site or any page or information or materials contained therein. When you access to any of these linked sites, you do so at your own risk. 5x Channel makes no claim or representation regarding, and accepts no responsibility for, the quality, content, nature or reliability of sites accessible by hyperlink from the Website, or sites linking to the Website. Subscriber acknowledges and agrees that 5x Channel has no control over the linked sites and is not responsible or liable for any content, advertising, products, services, softwares or other materials on or available from such linked site or any hyperlink contained in a linked site, or any review, changes or updates to such sites. Subscriber further acknowledges and agrees that 5x Channel shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with any use of or reliance on any such content, advertising, products, services, softwares or other materials on or available from such linked site or any hyperlink contained in a linked site, or any review, changes or updates to such sites. When Subscriber accesses to any of such linked sites, these Conditions and 5x Channel's other terms and policies no longer govern, and Subscriber should review the applicable terms and policies, including privacy and data gathering practices, of that site. |
| 3.10 | Dealing with Advertisers Subscriber's correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Website, including but without limitation purchase, payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. Subscriber agrees that 5x Channel shall not be responsible or liable for any loss or damage of any nature incurred as a result of such dealings or as the result of the presence of such advertisers on the Website. |
| 4 | DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY |
| Subscriber hereby expressly acknowledges and agrees as follows: - | |
| 4.1 | 5x Channel provides Our Service and the Content on an "as-is" and "as available" basis. Subscriber expressly agrees that use of Our Service and the Content is at its sole risk. |
| 4.2 | To the fullest extent permissible by law, in relation to Our Service and the Content, 5x Channel and the Sources disclaim all warranties of any kind, either express or implied, including but not limited to any warranties of title, or implied warranties of merchantability or fitness for a particular purpose or non-infringement. |
| 4.3 | No advice or information, whether oral or written, obtained by Subscriber through or from Our Service or the Content shall create any warranty unless otherwise expressly stated herein. |
| 4.4 | 5x Channel makes no representation or warranty that the Content is legal or appropriate for use or viewing outside the Macau Special Administrative Region or that it is authorised for export from the Macau Special Administrative Region or import into any other country. Subscriber shall be solely responsible for complying with all import and export laws and regulations and all applicable laws of any jurisdiction outside of the Macau Special Administrative from which you may access view or use Our Service and/or the Content or any part thereof. |
| 4.5 | Except as otherwise agreed in writing, 5x Channel assumes no responsibility for and makes no warranty or representation as to the timeliness, accuracy, currency, completeness, reliability or usefulness of the Content. |
| 4.6 | 5x Channel disclaims all warranties that Our Service or the Content will be uninterrupted, timely, secure or error free, or that defects, if any, will be corrected. Whilst 5x Channel and the Sources will endeavor to ensure the accuracy and reliability of the Content, neither 5x Channel nor the Sources represents or warrants that the Content or any part thereof or information provided by 5x Channel via email or other means are accurate, complete, reliable, current or error free. Nor does 5x Channel make any warranty as to the results that may be obtained from use of Our Service or the Content. |
| 4.7 | Neither 5x Channel nor the Sources will be liable for any loss or damage suffered by Subscriber (whether in tort, including negligence, or contract or otherwise) arising from any delays, inaccuracy or nondeliveries of Content, errors, system down time, misdeliveries of Content, network or system outages, file corruption or service interruptions caused by the negligence of 5x Channel, its affiliates, the Sources or Subscriber's own errors and/or omissions. |
| 4.8 | To the fullest extent permissible by law, under no circumstances, including without limitation negligence, shall 5x Channel or its holding companies, subsidiaries, affiliates, officers, directors, employees, agents, the Sources or any other party involved in creating, producing, transmitting, or distributing Our Service or the Content be liable for any indirect, incidental, special, consequential or exemplary damages arising from or in connection with any negligence in procuring, compiling, interpreting, editing, reporting or delivering any Content, or the access to or use or inability to access to or use or disruption or suspension of Our Service or any Content, or resulting from unauthorized access to or use of Our Service by using the Login ID and Password, including but not limited to damages for loss or revenue (whether direct or indirect), loss of profits, goodwill, use, data or other intangible losses, even if 5x Channel has been advised of the possibility of such damages. |
| 4.9 | In no event shall 5x Channel or any of its affiliates be liable to Subscriber for any amount in excess of the total Fees actually received by 5x Channel from Subscriber for the immediately preceding 6 months prior to any incident giving rise to a claim. |
| 5 | TERMINATION AND EFFECT |
| 5.1 | Either party may terminate the Subscription Agreement at any time by giving not less than 30 days' prior notice to the other, which termination shall take effect on the first billing date of the Fees next after the expiry of the 30-day period. |
| 5.2 | 5x Channel may terminate the Subscription Agreement forthwith at any time by notice to Subscriber if Subscriber breaches any term of the Subscription Agreement or if Subscriber's use of or actions in connection with Our Services are inappropriate in the reasonable opinion of 5x Channel. |
| 5.3 | All termination notice to be given pursuant to this Clause 5 must be in email to webmaster@5xchannel.com no less than 30 days prior to next billing day. |
| 5.4 | Upon the effective date of termination of the Subscription Agreement. |
| 5.4.1 | all licences and other rights and privileges granted to Subscriber under the terms of the Subscription Agreement shall forthwith cease; and |
| 5.4.2 | Subscriber will not be entitled to a refund of any Fees paid before the termination of the Subscription Agreement, neither will such Fees be transferable to any third party; and |
| 5.4.3 | it is agreed that Clauses 1, 3.8, 4 and 6.4 shall survive the termination of this Subscription Agreement. |
| 6 | MISCELLANEOUS |
| 6.1 | Waiver No failure to exercise and no delay in exercising on the part of either party hereto any right power or privilege under the Subscription Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power or privilege preclude any other or further exercise thereof, or the exercise of any other right, power or privilege. The rights and remedies provided in these Conditions are cumulative and not exclusive of any rights or remedies provided by law. |
| 6.2 | Severability Nothing contained in the Subscription Agreement or these Conditions shall be construed as requiring the parties hereto to commit any act contrary to law. Whenever there is any conflict between any of these Conditions and any present or future statute, law, ordinance or regulation contrary to which the parties have no legal right to contract, the latter shall prevail, but, in such event any provision thus affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law, the remaining Conditions shall continue in full force and effect. |
| 6.3 | Data Privacy In accordance with the provisions of the Ordinance, to the extent that Subscriber has not 'opted out' from direct marketing, Subscriber hereby consents to 5x Channel's using any personal data (as defined in the Ordinance) supplied in connection with the Subscription Agreement for 5x Channel's own internal and direct marketing purposes, to 5x Channel supplying such personal data to any other companies in its group or selected third parties to use for such purposes and to 5X Channel supplying such personal data to such third parties as may be necessary for the operation of Our Service. Subscriber also consents to any such personal data being transferred to another legal jurisdiction outside Hong Kong that may not have laws protecting personal data similar to the Ordinance. |
| 6.4 | Governing law and jurisdiction The Subscription Agreement shall be deemed to have been made in The Hong Kong Special Administrative Region and the construction validity and performance of the Subscription Agreement and these Conditions shall be governed in all respects by Hong Kong law. The parties hereto hereby submit to the exclusive jurisdiction of the Hong Kong Courts. |
